Terms of Use for Junipero.ai

1. GENERAL INTRODUCTION

Welcome to Junipero.ai ("Junipero", "we", "us"), a product operated by MARINESCU DRAGOS - PAUL PERSOANA FIZICA AUTORIZATA. These Terms of Use govern your access to and use of Junipero's services, which include a digital platform for interacting with AI-powered fictional characters via chat, image, and voice content.

By registering, accessing, or using Junipero, you agree to these Terms of Use. If you do not agree, do not use our services.

2. DEFINITIONS

• Platform: The Junipero App and junipero.ai Website.
• User: An individual who registers or interacts with the services.
• Content: All media-text, image, or audio-created, uploaded, or shared on the Platform.
• User Content: Content generated by the User.
• AI Output: Content generated by Junipero's AI systems.
• Subscription: A paid plan for accessing Infinity features.
• Prohibited Content: Content violating these Terms, laws, or rights of others.
• Mature Themes: AI-generated content involving romance, intimacy, and adult themes within strict content limits. We do not generate pornographic, hardcore, or genitalia-depicting visual content.

3. 18 U.S.C. 2257 EXEMPTION - FEDERAL LABELING AND RECORD-KEEPING LAW

We operate as a purely AI-generated content platform where no real individuals are portrayed or engaged in any content creation. Every piece of content accessible on Junipero.ai and/or any of our online channels, affiliated websites to which users may be redirected from Junipero platforms, products or services, including all content contained therein ("Services") is exclusively generated through artificial intelligence (AI) technology. Any visual depictions that may be suggestive or sensual are not performed by real human beings, but are rather created via and a product of AI technology. This method eliminates the participation of real human beings in the creation of images, videos, or any other material available on our Services.

The Federal Labeling and Record-Keeping Law is therefore not applicable.

4. ELIGIBILITY & ACCOUNT CREATION

4.1 Age Requirement: You must be at least 18 years of age (or the age of majority in your jurisdiction) to use Junipero. This service is strictly prohibited for minors under 18 years of age. By using this service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

4.2 Website Access and Registration: We take steps to keep minors off Junipero. Every account must declare its age during profile setup, and we close accounts that we learn belong to minors. If you believe your child has accessed the Services, please contact us using the contact information below so that we can block further access.

4.3 Mature Content Access: Junipero is an 18+ platform. Some mature features (suggestive imagery and romantic or intimate text roleplay) are available only to paying subscribers; free users are subject to stricter content limits enforced server-side. Payment methods that verify holders are 18 years of age or older (or the age of majority in their jurisdiction) serve as our primary age-assurance signal for mature features. All users must be of legal age to access the Services regardless of tier.

4.4 Age Declaration: When you set up your profile, you must declare your age, and you cannot continue if you are under 18 (or the age of majority in your jurisdiction). This is a self-declaration, not third-party identity verification. Providing inaccurate information about your age is a violation of these Terms and may also violate applicable law. Where local law requires more rigorous age assurance for mature content, additional checks may be applied as a condition of access.

4.5 Protection of Minors and Content Resembling Minors: Junipero is committed to protecting minors from inappropriate content. We do not knowingly collect personal information from anyone under 18. If we become aware that a user is under 18, we will immediately terminate their account and delete all associated data. It is strictly prohibited to generate AI content resembling minors. We are committed to ensuring that AI-generated content on our platform does not bear any resemblance to minors or exploit their likeness. Attempts to generate AI content resembling minors will be flagged, reviewed, and removed according to our moderation controls.

4.6 User Responsibility for Age Compliance: Junipero cannot be held responsible for any inaccuracies or misrepresentations regarding user age. It is the user's responsibility to ensure compliance with their local laws and regulations regarding access to mature content.

4.7 Visual Content Limits: We do not generate, and our underlying AI image and video providers are configured to refuse to generate, pornographic or hardcore imagery, depictions of genitalia, sexual penetration, sexual acts, or any content sexualizing minors. Junipero applies its own server-side prompt filters on top of provider-level safety systems. Visual output is limited to non-explicit imagery; "mature" in the visual context means suggestive or implied themes, not pornographic content.

4.8 By creating an account, you affirm the information provided is accurate and that you will maintain the confidentiality of your login credentials.

4.9 We may restrict or terminate access to any User previously removed or violating our policies.

5. SERVICES OVERVIEW

Junipero provides AI-generated characters that simulate fictional personalities across diverse worlds (fantasy, cyberpunk, slice-of-life, etc.). These AI characters are not real people and should not be treated as such.

AI Limitations and Disclaimers: Our AI characters are powered by large language models and other AI technologies that have inherent limitations. AI responses may be inaccurate, inconsistent, inappropriate, or unpredictable. Characters may "hallucinate" information, provide incorrect facts, or behave in ways that contradict their intended personality. We do not guarantee the accuracy, reliability, or appropriateness of any AI-generated content. Users should not rely on AI characters for factual information, professional advice, medical guidance, or any critical decision-making.

You are always talking to an AI: every character on Junipero, and everything it writes, is generated by AI. To keep stories immersive, characters stay in character and may claim to be human inside a story; they are not. If you tell a character that you are thinking about suicide or self-harm, it steps out of the story and points you to crisis resources. See Section 15 for crisis contacts.

6. BLOCKED CONTENT POLICY

At Junipero, we are committed to providing a secure, respectful, and lawful online environment for all users. Certain categories of content are strictly forbidden while using Junipero.ai and/or any of our platforms, products or services ("Services"). The Services consist of private chats with AI Characters, AI-generated images, and user-uploaded images for conversation context. While user-uploaded images remain private and are never shared with other users, all content is subject to our moderation controls and reporting policies.

6.1 Prohibited Content

The following content, including but not limited to text, user-uploaded images, AI-generated images, videos, and any other content created or shared on our platform, is prohibited:

a) Illegal Content: Content that contravenes local, national, or international laws and regulations is strictly prohibited. This includes, but is not limited to, content associated with illegal drugs, weapons, violence, or activities that advocate or endorse illegal actions.

b) Hate Speech and Discrimination: We do not tolerate content that promotes hate speech, discrimination, or harassment based on various factors, including race, ethnicity, nationality, religion, gender, sexual orientation, disability, or any other protected characteristic.

c) Violence and Harm: Content that encourages, glorifies, or promotes violence, self-harm, or harm to others is strictly prohibited. This includes content that endorses suicide, terrorism, or any form of harm.

d) Child Exploitation: We have a zero-tolerance policy toward child sexual abuse material (CSAM) and any content that exploits or endangers minors, including but not limited to CSAM, sexual exploitation, or any form of harm or harassment towards minors.

e) Content Resembling Minors: It is strictly prohibited to upload, generate, or attempt to create content resembling minors. We are committed to ensuring that both user-uploaded and AI-generated content on our platform does not bear any resemblance to minors or exploit their likeness. Attempts to upload or generate content resembling minors will be flagged, reviewed, and removed according to our moderation controls.

f) Infringement on Privacy and Copyright: Any content that infringes upon the privacy, copyrights, trademarks, or intellectual property rights of individuals or entities is not permitted. This includes sharing personal information without consent, pirated content, or any unauthorized use of copyrighted material.

g) Impersonation and Celebrity Content: Deceptive or harmful impersonation of real individuals, public figures, or celebrities is prohibited. This encompasses any misleading attempts to impersonate or misrepresent others.

6.2 Content Responsibility

You, as a user of the Services, are solely responsible for all content you upload and for the output generated by the AI Characters through your input, including any text messages, voice messages, uploaded images, and AI-generated images and videos. The AI Characters respond based on the conversations you lead, the content you upload, and the settings you select. You understand and agree that Junipero does not control or endorse the content generated by the AI Characters, and that you are fully responsible for any content you upload, any output generated by the AI, and for your own actions while using the Services.

You must ensure that your interactions with the AI Characters and any content you upload comply with applicable laws, regulations, and our Policies, and you shall not engage in any illegal, unethical, or harmful activities while using the Services.

6.3 Content Moderation

Conversations between you and AI Characters are private, but they are subject to our moderation controls. Automated systems check conversations, character definitions, creator profiles and AI descriptions of uploaded images for content that breaks these Terms, and may flag content, block a reply or conversation, or stop a character from being published. Our team may review flagged or reported content, other content associated with the account, or content relevant to a fraud, abuse or legal investigation or a support request you make. We may then remove content, restrict features, suspend or terminate the account, or report content to the appropriate authorities.

6.4 Prohibited Content Reporting

We have a zero-tolerance policy for Child Sexual Abuse Material (CSAM). Attempting to upload or create CSAM is prohibited by law and our Policies. In addition to our other content moderation and removal controls, we report known CSAM to the National Center for Missing and Exploited Children, or other local authorities as appropriate.

Reporting Illegal Content: If you encounter content on Junipero that you believe is illegal under applicable law - including but not limited to CSAM, terrorist content, content that incites violence, or content that infringes intellectual property rights - please report it to [email protected] with the subject line "Illegal Content Report" and a description of the content and its location on the platform. We aim to acknowledge reports within 24 hours and to take appropriate action, which may include removing the content, suspending the responsible account, and notifying competent authorities where required by law. Reports made in good faith are welcome; knowingly false reports may result in account action.

6.6 Termination

We have the right to suspend or terminate the use of the Services by anyone suspected of violating this or any of our Policies.

7. ACCEPTABLE USE POLICY

In addition to complying with the Blocked Content Policy in Section 6 (which is the canonical list of prohibited content on Junipero), you agree not to:

• Use Junipero for unlawful purposes.
• Abuse or rely on AI Output for real-world critical decisions (medical, legal, financial, etc.).
• Mislead others into thinking AI content represents real individuals.
• Attempt to reverse-engineer, scrape, or interfere with our systems or infrastructure.
• Use the Services to harass, defame, dox, or threaten any individual, or to facilitate any of the above against another user.
• Circumvent, disable, or attempt to bypass our moderation, age-gating, payment, or rate-limiting systems.

Section 6 is the binding list of prohibited content categories. To the extent any other section of these Terms describes specific examples of prohibited content (including sexual violence, content involving minors, or copyright violations), those examples are illustrative and do not limit Section 6.

8. SUBSCRIPTIONS & BILLING

8.1 Subscription Plans: Junipero offers optional paid subscription plans, currently Infinity, Infinity+ and Infinity Max, which unlock additional features and models and include a monthly allowance of Junis. What each plan includes, and any usage limits, is shown on our pricing page and at checkout. Pricing may vary by region and by platform.

8.1.1 Fair Use: Unlimited and included use on paid plans is subject to fair use. To keep the service fast and available for everyone, each plan has monthly usage limits that most members never reach. If you reach your plan's limit in a billing period, replies may switch to our standard model and some features may slow down until your next billing period begins. Your chats, characters and memory are not affected. Included allowances, such as Aurora messages, voice minutes and Story Mode panels, reset each billing period and do not carry over; once an allowance is used, that feature costs Junis as shown in the app. We may change fair-use limits, and may restrict accounts that use the service in an automated way, resell access or otherwise use it well beyond normal personal use.

8.2 Junis: Junis are a virtual in-app currency used for certain features, such as images, voice, Story Mode and some premium models. Plans include Junis each billing period, and additional Junis may be purchased. Junis included with a plan build up to 1,000; while you hold that many, new plan Junis are not added. Yearly plans include their Junis monthly. Purchased Junis are never limited this way and are used only after your plan Junis. Junis have no cash value and cannot be exchanged for money, transferred or sold. They are not refundable except where the law requires. Unused Junis carry over while your account exists, including after a subscription ends. The Junis cost of a feature may change and is shown before you use it. Junis are lost when your account is deleted or terminated for breaking these Terms.

8.3 Auto-Renewal: Unless otherwise stated at checkout, all paid subscriptions renew automatically at the end of each billing period (e.g., monthly or yearly) at the then-current price for that plan, using the payment method on file, until cancelled. We will charge your payment method at or shortly before the start of each new billing period. If a free trial is offered, your paid subscription begins automatically at the end of the trial unless you cancel before it ends.

8.4 Cancellation: You may cancel your subscription at any time. Cancellation stops future renewals; it does not refund the current billing period, and you will retain access to paid features until the end of the period you have already paid for.

• Web subscriptions can be cancelled through your Junipero account settings.
• iOS (App Store) subscriptions must be cancelled through your Apple ID subscription settings at least 24 hours before the renewal date to avoid being charged for the next period; we cannot cancel App Store subscriptions on your behalf.
• Android (Google Play) subscriptions must be cancelled through your Google Play account; we cannot cancel Google Play subscriptions on your behalf.

8.5 Price Changes: We may change subscription prices, plan structure, or included Junis amounts. We will provide notice of material price changes (e.g., by email or in-app notice) before they take effect on your next renewal. If you do not agree to a price change, you may cancel before the change takes effect; continued use after the new price takes effect constitutes acceptance.

8.6 EU/EEA/UK Right of Withdrawal and Express Consent to Immediate Performance: If you are a consumer in the European Union, the European Economic Area, or the United Kingdom, you would normally have a 14-day right to withdraw from a distance contract for digital services. Because Junipero is a digital service that you start using immediately upon purchase, by completing your purchase you expressly request that we begin providing the service immediately and acknowledge that you lose your 14-day right of withdrawal once performance has begun, in accordance with Article 16(m) of the EU Consumer Rights Directive (2011/83/EU) (and equivalent UK provisions). Statutory rights under your local consumer-protection laws (including legal warranty / non-conformity rights) are not affected.

8.7 No Refunds Policy: Subject to Section 8.6 and any non-waivable rights under your local law, all sales are final. No refunds are provided for: unused subscription time, unused Junis, user dissatisfaction, account suspensions resulting from violations of these Terms, or change of mind. Refunds for in-app purchases made through Apple or Google are handled by Apple and Google respectively under their own policies; we cannot issue refunds for App Store or Google Play purchases on your behalf. When you ask Apple or Google for a refund, you agree that we may tell them whether your purchase was delivered and whether we prefer the refund to be granted. If a purchase is refunded by Apple, Google or us, the Junis granted by that purchase are removed from your balance, even if this leaves your balance below zero. By purchasing any subscription or Junis, you acknowledge and agree to this policy.

8.8 Payment Processing and Disputes: Web payments are processed through Stripe, our third-party payment processor; in-app purchases are processed by Apple (App Store) or Google (Play Store). By making a purchase, you agree to the relevant processor's terms of service. For payment disputes, chargebacks, or billing questions on web purchases, you should first contact us at [email protected]. Any unauthorized chargebacks or payment disputes may result in immediate account suspension and restriction of services until the matter is resolved.

8.9 Chargeback Policy: If you initiate a chargeback through your bank or credit card company without first attempting to resolve the issue with us, we reserve the right to immediately suspend your account and restrict access to all services. Chargeback fees and associated costs may be added to any outstanding balance. Account access will only be restored upon resolution of the chargeback and payment of any associated fees.

9. INTELLECTUAL PROPERTY & CHARACTER CREATION

9.1 You retain rights to your User Content.

9.2 AI Output belongs to Junipero but is licensed to you for personal, non-commercial use.

9.3 You may not sell, license, or distribute AI Output or platform materials without our written consent.

9.4 Character Creation: Users may create custom AI characters using our platform tools. You retain intellectual property rights to the original character concepts, names, and descriptions you create. However, the AI-generated responses and behaviors of these characters are considered AI Output under section 9.2.

9.5 Character Sharing: When you share characters publicly or with other users, you grant other users a license to interact with those characters for personal use. You warrant that your character creations do not infringe on third-party intellectual property rights and comply with our content guidelines.

9.6 Character Moderation: We reserve the right to remove, modify, or restrict access to user-created characters that violate our Terms, infringe on intellectual property, or contain prohibited content. Character creators are responsible for ensuring their characters comply with all platform rules.

9.7 License to Operate the Platform: You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, display and adapt your User Content (for example, resizing an avatar) and to use it to generate AI Output, only as needed to run, improve and promote Junipero. For private content, this license is limited to providing the Services to you. For characters and scenarios you publish, it also covers showing them to other users, in search results, on our website and apps, and in promotion of Junipero. The license ends when you delete the content, except that published characters remain on the Platform, no longer linked to you, after you delete your account unless you delete them first.

10. THREE PILLARS OF OUR TERMS

10.1 Ownership

All trademarks, service marks, trade names, logos, and copyrights referenced on Junipero belong to their respective owners. Junipero has no affiliation, sponsorship, endorsement, or partnership with any third-party trademark or copyright holders unless explicitly stated. Users may reference third-party names, characters, or properties only for descriptive or nominative purposes (e.g., to describe the inspiration or genre of a user-created character) and not in any manner that implies official association or endorsement.

10.2 Prohibited Copyrighted Content

Users are strictly prohibited from uploading, generating, or distributing any copyrighted assets they do not own or have proper authorization to use. This includes, but is not limited to:

• Images, artwork, sprites, or visual assets from copyrighted franchises
• 3D models, character designs, or assets ripped from games or other media
• Music, sound effects, or audio tracks owned by third parties
• Scripts, dialogue, or written content copied from copyrighted works
• Source code or software components owned by others
• Leaked, unreleased, or stolen material from any franchise or company

Any content that reproduces, distributes, or is substantially derived from protected media of any franchise is strictly forbidden. Violations may result in immediate content removal, account termination, and potential legal action.

10.3 User Responsibility and DMCA Workflow

Users are solely responsible for all material they submit, upload, or generate on Junipero. By submitting any content, you represent and warrant that you either own all rights to such content or have obtained all necessary permissions, licenses, or authorizations from the rightful owners. You agree to indemnify Junipero against any claims arising from content you submit.

DMCA Takedown Process: Junipero maintains a designated DMCA agent to receive infringement notices. Upon receipt of a valid DMCA takedown notice, we will promptly investigate and, if appropriate, remove or disable access to the allegedly infringing content. We follow a clear removal procedure as outlined in Section 13 of these Terms.

Repeat Infringer Policy: Junipero maintains a repeat infringer policy. Users who repeatedly submit infringing content will have their accounts terminated. We track copyright complaints and take escalating action against users who demonstrate a pattern of infringement.

These policies are designed to allow nominative and descriptive use of third-party names without hosting protected works, while maintaining safe harbor compliance under the DMCA.

10.4 Separation Between User-Generated Fictional References and Protected Media

Mentions of copyrighted universes, characters, names, or concepts on Junipero are permitted only as transformative or fictional references created by users or generated by AI. Junipero does not provide, host, or redistribute any copyrighted source material from third-party rightsholders. All references generated by AI are synthetic outputs produced through probabilistic language modeling and are not reproductions, copies, or derivatives of proprietary works. The platform serves as a tool for original, user-directed creative expression and does not function as a repository or distribution channel for protected media.

10.5 Prohibition on Recreating Copyrighted Characters in Substantially Similar Manner

Users may not create, upload, or attempt to create characters, lore, dialogue, images, or other content that is substantially similar to protected characters, storylines, visual designs, or other intellectual property from any franchise or rightsholder. This includes attempting to replicate the appearance, personality, backstory, catchphrases, or distinctive traits of copyrighted characters in a manner that could cause confusion or constitute infringement. AI-generated content that unintentionally resembles protected material will be removed upon detection or notification. Users are responsible for ensuring their creations are sufficiently original and transformative.

10.6 Disclaimer Concerning Autonomous AI Generation

Any similarity between AI Output and protected works is unintentional and the result of probabilistic generation by large language models and other AI systems. Junipero does not train its models on proprietary datasets belonging to specific rightsholders, nor does it intentionally program AI to reproduce copyrighted content. AI outputs are generated autonomously based on user prompts and general training data, and any resemblance to existing copyrighted works is coincidental. Junipero disclaims any liability for unintentional similarities and will take appropriate action to remove content upon valid notification of infringement.

10.7 Expanded Indemnification for Intellectual Property Disputes

Users assume full liability for any intellectual property claims arising from their input, uploads, character creations, or use of the platform. This includes, but is not limited to, claims of trademark infringement, trademark confusion, trademark dilution, copyright infringement, trade dress violation, or misappropriation of publicity rights. By using Junipero, you agree to indemnify, defend, and hold harmless Junipero and its officers, directors, employees, and affiliates from any and all claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from intellectual property disputes related to your use of the platform. This indemnification obligation survives termination of your account.

11. PRIVACY AND DATA

11.1 Please review our Privacy Policy to understand how we collect, process, and store your information.

11.2 Data Retention: We retain your account data, conversations and generated content for as long as your account remains active. If your account stays inactive for more than 12 months, we may terminate it under Section 14.2 and delete the associated data.

11.3 Data Deletion: You may delete your account at any time through the app or website. Your profile, conversations, memories, personas, lorebooks and private characters are then removed from the Platform and cannot be recovered. Characters you published remain available to the community but are no longer linked to you. We may also delete your data if we terminate your account for violations of these Terms. Deleting your account cancels a web subscription but does not cancel an App Store or Google Play subscription. Cancel those in your Apple or Google account settings, or you will continue to be charged.

11.4 Backup and Recovery: We maintain backups for system integrity and disaster recovery. Residual copies of deleted data may remain in our systems and backups for a limited period before they are permanently erased. We keep purchase, tax and safety-violation records for as long as the law requires.

12. CONTENT MODERATION & ENFORCEMENT

12.1 Content Standards: All interactions with AI characters and all User Content must comply with the Blocked Content Policy in Section 6 (canonical) and the Acceptable Use Policy in Section 7. Fictional or roleplay framing does not excuse violations of Section 6.

12.2 Automated Monitoring: We employ automated systems to detect and prevent prohibited content. Attempts to circumvent these systems or generate prohibited content will result in account restrictions or termination.

12.3 Content Removal: We reserve the right to remove content, restrict features, or suspend/terminate accounts for violations of these Terms without prior notice.

12.4 Reporting: You can report a character or message with the Report option in the app or on the web, or email [email protected]. For illegal content reports, see Section 6.4. We review reports and take appropriate action.

12.5 Appeal Process: If we remove your content or restrict your account, we will tell you what we did and why, unless the law or safety reasons prevent it. If you believe we made a mistake, contact us at [email protected] within six months. A person will review the decision and tell you the outcome.

13. DMCA POLICY - DIGITAL MILLENNIUM COPYRIGHT ACT

Junipero values and upholds the intellectual property rights of others, and we are dedicated to adhering to the Digital Millennium Copyright Act (DMCA) and other relevant copyright laws. Our DMCA Policy delineates the steps we take to address notifications of copyright infringement and provides guidance on reaching out to us if you suspect that your copyrighted material has been utilized on our platform without proper authorization.

Junipero.ai and/or any of our online channels, affiliated websites to which you may be redirected from Junipero, platforms, products or services, including all content contained therein are referred to herein as "Services."

13.1 Reporting Copyright Infringement

If you believe in good faith that materials transmitted or created through the Services infringe your copyright, you (or your agent) may send us a notice requesting that we remove the material or block access to it. Please provide the following information in writing:

• An electronic or physical signature of the owner (or person authorized to act on behalf of the owner) of the copyrighted work;
• A description of the copyrighted work that you claim has been infringed upon and sufficient information for us to locate such copyrighted work;
• Your address, telephone number, and e-mail address;
• A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

13.2 DMCA Notices Response

After receiving a complete infringement notice, we will take the following actions:

• Review and confirm that received documents meet DMCA requirements;
• Take proper preliminary actions against said alleged infringement within 1-3 days after receipt of said information, including without limitation link blockage;
• Notify the alleged infringer and demand him or her to explain and provide counter evidence.

13.3 Counter Notification

If you believe in good faith that someone has wrongly filed a notice of copyright infringement against you, you may send us a counter-notice. If you do, we will notify the alleged claimant and hold the process for 10-14 days and then re-enable your content unless the copyright owner initiates a legal action against you before then.

13.4 Contact Information

Notices and counter-notices should be sent to us via email at: [email protected]. We are committed to addressing concerns in a timely manner and ensuring a positive experience for all our users.

13.5 Termination

We have the right to suspend or terminate the use of the Services by anyone engaged in suspected infringement described above.

14. TERMINATION

14.1 You may delete your account anytime via the app or website.

14.2 We reserve the right to terminate accounts for violation of Terms or inactivity over 12 months. When an account is terminated for inactivity, associated data is permanently deleted in accordance with Section 11.

15. LIMITATION OF LIABILITY

Junipero is provided "as is." We do not guarantee uninterrupted service or the accuracy of AI Output. You use the platform at your own risk.

Junipero disclaims any liability for AI-generated content that users may find offensive, inaccurate, or emotionally distressing. We are not liable for the misuse of the platform, including attempts to generate illegal or prohibited content.

Not a Substitute for Professional Help: Junipero is an entertainment and creative roleplay platform. AI characters are fictional and are not qualified to provide medical, psychological, psychiatric, legal, financial, or other professional advice. AI characters cannot diagnose, treat, or provide emergency assistance, and conversations with them are not therapy. If you are experiencing a mental health crisis, suicidal thoughts, or thoughts of harming yourself or others, please contact a qualified professional or local emergency services immediately. In the United States, you can call or text 988 to reach the Suicide and Crisis Lifeline. In the European Union, dial 112. Other countries have equivalent services - please use them. Junipero is not liable for any decision, action, or harm that results from relying on AI characters in place of professional care.

If you attempt to use the platform to create or solicit any AI Output that portrays, depicts, or suggests underage individuals in explicit or inappropriate scenarios (even fictional), you will be banned without notice, and your activity may be reported to appropriate authorities. Junipero is not liable for such user-generated misuse and reserves the right to cooperate fully with legal investigations.

To the fullest extent permitted by law, Junipero is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or goodwill, and our total liability for any claim arising out of or relating to these Terms or the Services is limited to the greater of the amount you paid us in the 12 months before the claim arose or EUR 50. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law, and consumers in the EU, EEA and UK keep their statutory rights.

16. GOVERNING LAW & DISPUTE RESOLUTION

16.1 Governing Law (General)

Except as set out in Sections 16.3–16.5, these Terms and any dispute arising out of or relating to them are governed by the laws of Romania, without regard to its conflict-of-law principles.

16.2 EU/EEA/UK Consumers

If you are a consumer resident in the European Union, the European Economic Area, or the United Kingdom, the choice of Romanian law in Section 16.1 does not deprive you of the protection afforded by the mandatory consumer-protection rules of the country where you reside. You may bring claims in the courts of your country of residence or in the competent courts of Bucharest, Romania.

16.3 U.S. Users - Binding Individual Arbitration (Please Read Carefully)

If you are a resident of the United States, you and Junipero agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (a "Dispute") will be resolved exclusively by final and binding individual arbitration, and not in court, except as provided in Section 16.5. By accepting these Terms, you and Junipero are each waiving the right to a trial by jury and the right to participate in a class action.

Arbitrator and Rules. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect at the time the arbitration is commenced (the "AAA Rules"), as modified by these Terms. The AAA Rules are available at www.adr.org. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this Section 16.3.

Forum and Procedure. The arbitration will be conducted in the English language. For claims of US$10,000 or less, the arbitration will be conducted by telephone, by written submissions, or online unless the arbitrator determines an in-person hearing is necessary. For larger claims, the hearing location will be the U.S. county where you reside, unless you and Junipero agree otherwise. The arbitrator's decision will follow these Terms and will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Fees. Payment of all filing, administration, and arbitrator fees will be governed by the AAA Rules, except that for claims under US$10,000 we will reimburse you for filing fees if the arbitrator does not find your claim to be frivolous.

16.4 Class-Action Waiver (U.S. Users)

YOU AND JUNIPERO AGREE THAT ANY DISPUTE WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding. If a court of competent jurisdiction decides that this class-action waiver is unenforceable as to any particular claim or request for relief, that claim or request will be severed from the arbitration and brought in the state or federal courts located in the jurisdiction identified in Section 16.6; all other Disputes will remain subject to arbitration under Section 16.3.

16.5 Carve-Outs and 30-Day Right to Opt Out

Excluded claims. Sections 16.3 and 16.4 do not apply to: (a) small-claims-court actions brought on an individual basis; (b) claims for injunctive or other equitable relief to stop unauthorized use or abuse of the Services or intellectual-property infringement; or (c) any claim that applicable law does not permit to be arbitrated.

Right to opt out. You may opt out of the arbitration agreement and class-action waiver in Sections 16.3 and 16.4 by sending written notice to [email protected] with the subject line "Arbitration Opt-Out" within 30 days after you first accept these Terms (or within 30 days after this Section 16 is materially amended). The notice must include your full name, the email associated with your Junipero account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

Informal dispute resolution first. Before filing any arbitration or court action, you agree to first contact us at [email protected] with a written description of the Dispute and the relief you are seeking, and to attempt in good faith to resolve the Dispute for at least 60 days before initiating formal proceedings.

16.6 Forum for Excluded and Non-Arbitrable Claims

For any Dispute not subject to arbitration under Section 16.3 (including claims by users who validly opt out under Section 16.5 and claims that a court determines are non-arbitrable), the parties submit to the exclusive jurisdiction of the competent courts located in Bucharest, Romania, except that, for U.S. residents, claims excluded under Section 16.5(a)–(c) may be brought in the state or federal courts located in the user's U.S. county of residence.

16.7 Severability of This Section

If any portion of Sections 16.3–16.5 is found to be unenforceable, the remaining portions will remain in full force, except that if the class-action waiver in Section 16.4 is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and proceed in court under Section 16.6.

17. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Junipero, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) any content you create, upload, or share; (e) any character you create or interactions you have with AI characters; or (f) any harmful or illegal activity connected to your account.

18. FORCE MAJEURE

Junipero shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet outages, third-party service failures, or other circumstances beyond our control. In such events, our obligations will be suspended until the cause is resolved.

19. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

20. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Junipero regarding your use of the platform and supersede all prior agreements, representations, and understandings.

21. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will give you at least 15 days' notice of material changes by email or in the app before they take effect, unless a change is required by law or needed to address a safety risk. Continued use of Junipero after the changes take effect means you accept the revised Terms. Changes to Section 16 do not apply to disputes that arose before the change.

22. APP STORE TERMS

If you use the Junipero app from the Apple App Store, these Terms are between you and Junipero, not Apple, and Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price of the app; to the extent permitted by law, Apple has no other warranty obligation. Junipero, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to meet a legal or regulatory requirement, consumer-protection claims and intellectual-property infringement claims. You confirm that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You must also comply with the App Store or Google Play terms that apply to your use of the app.
